The Audit Committee of Ulticom, Inc. ("Ulticom") has established the Sarbanes
Accounting Complaint Hotline ("Sarbanes Hotline") to receive, retain,
investigate and act on complaints and concerns regarding accounting, internal accounting
controls and auditing matters ("Accounting Complaints") confidentially
and/or anonymously. Management strongly encourages employees and others to report
suspected violations to the Sarbanes Hotline.
The Sarbanes Hotline is operated by CCBN, an independent firm unaffiliated with
Ulticom. The Sarbanes Hotline does not replace other sources available to employees
to voice their complaints or concerns, such as supervisors, managers, and human
resources staff, rather it is an alternate channel available to employees 24 hours
a day, 365 days a year. The Sarbanes Hotline toll-free number is: 877-727-3411.
CCBN will forward concerns regarding accounting, internal accounting controls and
other auditing matters (including confidential and anonymous submissions by employees
of Ulticom) to a member of the Audit Committee. If an employee chooses to give his
or her name, that information will be kept confidential unless, as in the case of
certain crimes, a law requires such name be provided to enforcement officials or
a court. Ulticom absolutely will not allow any retribution or retaliation against
employees who report Accounting Complaints in good faith, no matter whom the report
concerns.
The Sarbanes Hotline also is available to all company employees and others to report
suspected violations of the Ulticom's Code of Business Conduct and Ethics
